Terms of Service

1 Introduction

Welcome to Piclivo ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of Piclivo's website, mobile applications, APIs, and related services (collectively, the "Service").

Piclivo is an AI-powered cloud photo sharing platform that enables users to upload, store, share, and discover photographs through features including AI-based face detection, portfolio creation, bulk downloading, and cloud folder transfers.

2 Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that:

• You are at least 18 years of age, or are accessing the Service under the supervision of a parent or legal guardian who agrees to these Terms.
• You have the legal capacity to enter into a binding agreement.
• You are not prohibited from using the Service under applicable law.
• You accept these Terms and our Privacy Policy in their entirety.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

3 Description of Service

Piclivo provides the following core services:

• Photo Storage & Sharing: Upload original, uncompressed photos and share them via public links with event guests, collaborators, or the general public.
• AI Face Detection: Allow guests to upload a selfie and automatically detect matching photos from your uploaded library using artificial intelligence.
• Portfolio Builder: Create a personalised mini-website at a custom Piclivo URL to showcase your work, with About, Gallery, Projects, and Contact sections.
• Cloud Folder Transfer: Use Piclivo's built-in cloud drive to share files directly with designers, clients, or team members without relying on third-party services.
• Bulk Downloads & Watermarking: Download selected or entire photo collections, and optionally apply configurable watermarks to downloaded images.
• Analytics Dashboard: View activity data including upload counts, face detection counts, user logins, and gallery view metrics.

We reserve the right to modify, suspend, or discontinue any feature or the Service as a whole at any time, with or without notice.

4 User Accounts

Registration

To access certain features you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Use a strong, unique password for your Piclivo account.
• Notify us immediately at support@piclivo.com of any unauthorised access or suspected security breach.
• Never share your login credentials with third parties.

Account Restrictions

You may not create more than one free account per person or use automated means to create accounts. Business and team accounts must be registered under valid organisation details.

5 Subscription & Billing

Plans

Piclivo offers the following subscription tiers, billed monthly:

• Silver (₹999/mo): 300 GB storage, email support, AI face detection, and core features.
• Gold (₹1,499/mo): 500 GB storage, priority support, storage expansion option, and all Silver features.
• Platinum (₹2,299/mo): 1,000 GB storage, dedicated support, storage expansion, and all Gold features.

Payment

Subscription fees are billed in advance on a monthly basis. By providing payment information, you authorise Piclivo to charge the applicable fees to your chosen payment method. All fees are non-refundable unless otherwise stated or required by applicable law.

Auto-Renewal

Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You can manage or cancel your subscription from your account settings at any time.

Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price change. Continued use of the Service after the change takes effect constitutes acceptance of the new price.

Storage Expansion

Additional storage is available as an add-on for Gold and Platinum plans. Add-on charges will be added to your next billing cycle.

6 Acceptable Use Policy

You agree not to use the Service to:

• Upload, store, or share content that is illegal, obscene, defamatory, threatening, or that infringes the intellectual property rights of any third party.
• Upload images of individuals without their consent, particularly minors.
• Use the AI Face Detection feature to identify individuals without their knowledge or for surveillance purposes.
• Attempt to gain unauthorised access to any part of the Service, other users' accounts, or related systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service for commercial redistribution of photo assets you do not own.
• Transmit viruses, malware, or any code of a destructive nature.
• Engage in automated scraping, crawling, or data extraction without our written consent.
• Use the Service in any manner that could damage, overburden, or impair the infrastructure supporting it.

7 Intellectual Property Rights

Your Content

You retain all ownership rights to photos and other content you upload to Piclivo ("Your Content"). By uploading content, you grant Piclivo a limited, worldwide, non-exclusive, royalty-free licence to store, display, and transmit Your Content solely as necessary to provide the Service to you.

We do not claim ownership of Your Content and will never use it for advertising, training AI models, or purposes beyond operating the Service without your explicit consent.

Piclivo's IP

The Piclivo name, logo, website design, software, AI models, and all related documentation are the exclusive intellectual property of Piclivo. You may not copy, modify, distribute, or create derivative works based on our IP without our prior written consent.

Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable, perpetual licence to use that feedback without compensation to you.

8 Privacy & Data

Your privacy is important to us. Our collection, use, and storage of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key data commitments include:

• Original photos are stored without compression and without being analysed for advertising.
• Selfies used for AI face detection are processed in real-time and are not permanently stored.
• We use industry-standard encryption for data in transit and at rest.
• You may export or delete all your data at any time from account settings.

9 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PICLIVO DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times.
• Any defects will be corrected.
• The Service or servers that make it available are free of viruses or other harmful components.
• The AI face detection will be 100% accurate in all circumstances.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PICLIVO, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

• Your use of or inability to use the Service.
• Any unauthorised access to or alteration of your content.
• Loss of data or profits, however caused.
• Any matter beyond our reasonable control.

In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability, our liability is limited to the greatest extent permitted by law. Our total aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11 Indemnification

You agree to defend, indemnify, and hold harmless Piclivo and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Your use of the Service in violation of these Terms.
• Your Content, including any claim that it infringes the rights of a third party.
• Your violation of any applicable law or regulation.
• Any misrepresentation made by you.

12 Termination

Termination by You

You may terminate your account at any time from your account settings. Upon termination, your access to the Service will cease and your data will be retained for 30 days before permanent deletion, during which time you may export it.

Termination by Piclivo

We may suspend or terminate your account with or without notice if you violate these Terms, engage in fraudulent or illegal activity, or if required to do so by law. Upon termination for cause, we are not obligated to provide a refund for any unused subscription period.

Effect of Termination

Sections 7, 9, 10, 11, and 14 shall survive termination of these Terms.

13 Modifications to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you disagree with the changes, you must discontinue using the Service before the effective date.

14 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, with proceedings conducted in English.

Nothing in this clause prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.
